| | The United States (US) has strong antimonopoly laws that are currently being applied to e-commerce cases. Most of these claims, though, have not succeeded but it is definitely interesting to see how the antimonopoly area of law applies to the cyber world. The Medical Supply Chain, Inc. v. | | In today’s global business world it is imperative for companies aspiring to improve their corporate rating and to achieve higher level of investments, to adopt good governance practices and transparency laws to protect investors.
Recognizing the importance of these issues prepare the companies to compete in a level playing field with companies from other countries that foster these kinds of regulations.
In this context, the Argentine Government has recently issued a set of non-mandatory corporate governance recommendations for companies that offer securities to the public (“Public Companies”), to further improve the corporate governance legal framework. On October, 2007, the Argentine Securities Commission (Comisión Nacional de Valores “C.N.V.”) issued a resolution approving recommendations listed by such resolution as the minimum contents that these companies could include when issuing their own internal Corporate Governance Code.

| | As more brick-and-mortar companies enter the e-commerce market, we may witness how traditional antitrust and trade rules, like the United States (US) Sherman Act and the Clayton Act, apply to e-commerce dealings. Section 1 of the Sherman Act (15 U.S.C.S §1) declares illegal (it is a felony) any restrain of commerce or trade among the states, or foreign nations, through contractual arrangements, trusts, or the like. This provision applies to any 'person,' be it a corporation or an individual. The US Clayton Act (15 U.S.C.S. § 18) precludes any person from engaging in any form of trade that creates monopoly or lessen competition. Hence, an interesting question is this: may significant e-commerce agreements like Mirror Hosting Agreements between big companies trigger application of antitrust laws? [More...] |

| | The Federal Trade Commission has issued an administrative complaint challenging Whole Foods Market Inc."s approximately $670 million acquisition of Wild Oats Markets Inc. The administrative complaint preserves the Commission’s legal option to pursue an administrative remedy following the federal district court proceeding. According to the complaint, the transaction would violate federal antitrust laws by eliminating the substantial competition between these two uniquely close competitors in the operation of premium natural and organic supermarkets nationwide. The FTC contends that if the transaction goes forward Whole Foods would have the ability to raise prices and reduce quality and services.
